Job Description:

Compliances

  • Filing of various statutory returns on time.
  • Complying with provisions of the Companies Act, FEMA and other applicable corporate laws and advising the management regarding their applicability to the Company.
  • Preparation of checklist for each and every compliance activity with timelines
  • Keeping under review all legal and regulatory developments affecting the Company and making sure that the Directors are properly informed of same;
  • Ensuring compliance with listing agreement with stock exchange. Conduct meetings of shareholders.
  • Ensuring compliance with all Regulations made by SEBI under the SEBI Act as applicable to the Company.

 

Company Affairs

 

  • To assist in managing the Company’s Affairs in relation to legal/financial/ Secretarial matters and ensuring due compliance of Company/Corporate Laws in order to protect the interest of board of directors and the shareholders of company.
  • To independently handle all Investor Complaints and to deal with Registrar & Share Transfer Agent of the Company.
  • To carry out in secretarial work for the company.

 

Managing meetings of Board of Directors and Annual General Meetings

  • To assist in arranging the meetings of Board of Directors, shareholders, committee of the Board, committees formed under the Company/Corporate Laws etc. and preparing/circulating agenda/Minutes of Meetings. Preparation of Committee, Board and AGM Agenda and Minutes.

 

Documentation

  • Assist in dealing with Mergers and amalgamations. Vet documents such as legal, contract, loans and financial document etc. Providing necessary help in preparing agreements, MoUs petitions and other legal documents.
  • Deal with internal, statutory & special audit teams in respect of the matters pertaining to observance of Company Law and other Company Affairs and preparing replies to such observations Comply with corporate governance requirement of the listing agreement. Draft and publish a notice to shareholders.
  • Preparation and to maintain all statutory registers
  • Preparation of Policy documents, Charter documents etc.

 

Administration

  • To maintain and handle records, filing and retrieval of documents
  • To ensure processing of bills and other payments
  • To ensure compliance of internal delegation of authorities.

 

Legal

  • Handle escalations of disputes/ litigations to negotiate and resolve the issue
  • Managing and coordinating the Company’s approach towards litigation/other proceedings to which the Company is party or potentially party.
  • Monitor change in relevant legislation and update the same to the management and takes appropriate action.
  • Give expert’s services in finalising contracts/ agreements with customers, suppliers and contractors (labour, service, utilities  and the like).

Consulting

  • Liaise with the R&T agents and settle members’ grievances.
  • Liaise with various consultants and experts engaged by the company.
  • Ensure Secretarial compliances of Private limited companies and Trusts under management of the G.N.Kalyani Group.
  • Keep the Board Members informed of their legal responsibilities.

Perform any other work assigned by the management.
